MERGERS & ACQUISITIONS

MHE Company, Inc.

BT&Co. acted as financial advisor to this materials handling equipment manufacturer in its search for a buyer. We developed a management succession plan, interim financing strategy and ultimately negotiated the sale of the Company to Douglas and Lomason, Inc.

Kasler Corporation

BT&Co. acted as financial advisor to the Kasler Family stockholders in their negotiations with the Dennis Washington led buyout of the Company. In addition to financial advice, we acted as the Family’s representative to the Kasler Corporation Board of Directors and negotiated a substantial improvement in the offer made to “dissenter” shares.

Kennedy-Wilson, Inc.

BT&Co. was retained to represent the Company in the sale of its investment in REALTY HOLDINGS OF AMERICA. We analyzed the RHA partnership agreement, valued K-W’s share, negotiated with the buyer, structured and closed the transaction.

SFE Technologies

BT&Co. was retained to assist the Company in its restructuring. We organized and sold SFE’s Arizona Division in order to fund its emergence from a Department of Defense induced financial crisis. After the successful sale of the Division to Vishay Technologies, we remained as financial advisors and assisted in the bank loan restructuring and the Department Of Defense re-qualification negotiations.

Pico Products, Inc.

BT&Co. assisted this manufacturer and distributor of Cable TV equipment in the sale of its trap and filter manufacturing division to Thomas & Betts.

Polar Vision Inc.

BT&Co. assisted the Management team of this manufacturer of polarizing films and custom laminated optical filters in exercising their option to purchase the interests of an existing leveraged buyout investor. BT&Co. located several prospective new investor / partners and assisted in negotiation of a joint venture between Management and E.I. DuPont (Displays Division).

Western Exterminator Company

Principles of BT represented the shareholders Western Exterminator and Target Specialty Products as their exclusive financial advisor in the sale of the companies to Rentokil Initial. This acquisition for $100 million was one of the largest pest control service transactions in the last five years.

EQUITY FINANCING

Intrepid Energy & Co.

In 1996, BT was instrumental in the formation of a private equity firm, Intrepid Energy & Co. (“Intrepid”). Intrepid, based in London, specializes in oil and gas investments in the United Kingdom sector of the North Sea. Subsequent to intrepid’s formation, BT raised from U.S. institutional investors an initial investment Fund of approximately $250 million for Intrepid to manage on a leveraged basis. In 2001, Intrepid, for the Fund, made one of the largest oil discoveries in the last 20 years in the UK sector of the North Sea – now known as the Buzzard Field. Currently the Fund is being liquidated with over $1 billion of value having been realized to date. Intrepid’s management now anticipates that the return to the Fund’s investors should exceed 50% per annum. A number of university endowment funds, including Stanford, Yale, Dartmouth, Notre Dame and the University of Michigan were investors in the Fund.

AutoEXPO, Inc.

BT&Co. represented this chain of retail warehouse – auto parts concept stores in three equity financings, raising over $25 million.

The Walking Company

BT&Co. represented this multi-store retail marketing concern, raising $3 million in equity financing for growth and expansion.

WorldNetDaily.com, Inc.

BT&Co. represented this Internet News Site provider in its efforts to raise venture financing.

ADVISORY ASSIGNMENTS

Excellence In Medicine LLC

BT&Co. was retained by Excellence In Medicine, LLC, an Orthopaedic Joint Surgery Specialty Physician Service Network and Marketing Management Company to assist in the development of a business plan, provide access to securities firms and early stage capital. We assisted management and made presentations to potential member Physicians, raising $1.55 million in capital commitments in order to achieve a successful roll out of the business. We have consulted with ElM’s founder, served as the Company’s interim Chief Financial Officer, and as a member of its Board of Directors.

Pico Products, Inc.

BT&Co. represented the Board of Directors of this publicly held Cable Television Equipment manufacturer and distributor in its efforts designed to re-capitalize the company and to protect and maximize shareholder values.
